Review what could change the deal
A useful VAT review concentrates on issues that can affect price, warranties, indemnities, cash flow, integration or future compliance. Scope follows materiality and the target's actual operating model.
- Registration and filing history
- Liability and recovery positions
- Property, international and ecommerce flows
- HMRC enquiries, errors and uncertain treatments

Findings written for decisions
Each finding should identify the fact pattern, technical issue, affected period, value range, confidence level and possible mitigation. A long list without transaction context is not due diligence.
- Buy-side risk report
- Sell-side readiness review
- Data-room questions
- SPA protection and post-deal plan
